Terms of Use and End-User License Agreement

1. Acknowledgement
By downloading, installing, or using the ShowBreak application (the “Licensed Application”), you acknowledge that this End-User License Agreement (“Agreement”) is solely between you and SEOVEGAS (“Developer”, “we”, “our”, or “us”). You further acknowledge that this Agreement does not create any contractual relationship with Apple Inc., and that Apple is not responsible for the Licensed Application or its content. You have had the opportunity to review the Apple Media Services Terms and Conditions, and nothing in this Agreement conflicts with those terms.

2. Scope of License
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to download, install, and use the Licensed Application solely on any Apple‑branded product that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license also permits access and use by other accounts associated with the purchaser via Family Sharing or volume purchasing as provided by Apple.

3. Maintenance and Support
SEOVEGAS is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified herein or required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services for the Licensed Application.

4. Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION IS PROVIDED “AS IS” AND SEOVEGAS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. In the event that the Licensed Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application; however, SEOVEGAS shall have no other warranty obligation or liability with respect to the Licensed Application, and any other claims, losses, or damages will be solely the responsibility of SEOVEGAS.

5. Product Claims
You acknowledge and agree that SEOVEGAS, and not Apple, is solely responsible for addressing any claims or disputes arising from your use of the Licensed Application. This includes, but is not limited to, product liability claims; claims that the Licensed Application fails to comply with applicable legal or regulatory requirements; and claims arising under consumer protection, privacy, or similar legislation. SEOVEGAS shall bear any liability arising from such claims to the extent permitted by law.

6. Intellectual Property Rights
You acknowledge that all content, features, and functionality of the Licensed Application—including all intellectual property rights—are the exclusive property of SEOVEGAS or its licensors. In the event of any third-party claim that your use of the Licensed Application infringes upon that party’s intellectual property rights, SEOVEGAS will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

7. Legal Compliance
You represent and warrant that:
(i) you are not located in any country subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and
(ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third-Party Terms of Agreement
Your use of the Licensed Application may be subject to additional third-party terms and conditions (for example, those governing data services or VoIP usage). You agree to comply with all applicable third-party agreements when using the Licensed Application.

10. Third-Party Beneficiary
You and the End-User acknowledge and agree that Apple Inc. and its subsidiaries are intended third-party beneficiaries of this Agreement. Upon your acceptance of these terms, Apple shall have the right to enforce this Agreement against you as a third-party beneficiary.

11. Subscription Services
ShowBreak offers a weekly subscription service titled “VIP Member” for $2.99 per week that unlocks additional features within the Licensed Application. By subscribing:

• You authorize SEOVEGAS to charge your designated payment method on a recurring weekly basis until your subscription is canceled.

• Subscription payments are non-refundable, and your subscription will automatically renew at the end of each weekly term unless canceled.

• You may cancel your subscription at any time through your device’s subscription management settings or by contacting our customer support.

• SEOVEGAS is solely responsible for handling all subscription-related transactions and billing matters.

12. Exclusive Real Time Data and Additional Features
The Licensed Application includes exclusive Real Time Data and the One Click Guest List feature, which are accessible only to VIP Members. You agree that:

• The Real Time Data provided in the Licensed Application is proprietary to SEOVEGAS and may not be shared, reproduced, distributed, or transmitted (in whole or in part) through any other application or platform without our express written consent.

• Only users who subscribe to the VIP Member subscription will have access to the Real Time Data and One Click Guest List feature.

• Users who do not subscribe to the VIP Member subscription will continue to have access to the free features of the Licensed Application, which include event listings for the entire year and the ability to purchase tickets, but do not include access to the exclusive Real Time Data or the One Click Guest List feature.

13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to this Agreement shall be exclusively resolved in the state or federal courts located in Nevada.

14. Changes to This Agreement
SEOVEGAS reserves the right to modify this Agreement at any time. Material changes will be posted on our website and within the Licensed Application with an updated Effective Date. Your continued use of the Licensed Application after any changes constitutes your acceptance of the modified Agreement.

15. Entire Agreement
This Agreement constitutes the entire agreement between you and SEOVEGAS regarding your use of the Licensed Application and supersedes all prior or contemporaneous communications, whether electronic, oral, or written.

By downloading, installing, or using the ShowBreak application, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this End-User License Agreement.
